Terms governing use of www.dtplabs.com and engagement of DTP Labs services.

These Terms of Service ("Terms") govern your use of the www.dtplabs.com website and any services you engage from DTP Labs (a partnership firm registered in India, "DTP Labs", "we", "our", "us"). By using the site or engaging our services you agree to these Terms. If you do not agree, do not use the site or engage our services.
DTP Labs provides multilingual desktop publishing, localization, translation (human and MTPE), e-learning localization, multimedia localization (voice-over, AI dubbing, subtitling), PDF accessibility remediation, image localization, and related publishing and content engineering services. Specific scope, deliverables, timeline, and price for each engagement are set out in a written quote, statement of work, or master services agreement accepted by the client.
These Terms apply to the website and to engagements that do not have a separate signed agreement. Where a signed master services agreement or statement of work exists, that document prevails over these Terms to the extent of any conflict.
Our services are priced per page (for desktop publishing), per source word (for translation), per course or per minute (for e-learning and multimedia), or per project depending on service type and scope. All pricing is quoted in writing before work commences. Pricing in this document and in marketing materials is indicative and subject to change.
Unless agreed otherwise in writing, invoices are payable within 30 days of the invoice date. Late payments may be subject to interest at the rate permitted by applicable law. Volume and framework-agreement pricing is available for clients with committed monthly or annual minimums.
DTP Labs treats all client content as confidential. Every engagement begins with a signed non-disclosure agreement (mutual NDA) executed before any files are exchanged, unless the client has a prior master agreement including equivalent confidentiality provisions.
Our team, systems, and workflows operate under ISO 27001:2022 certified information security management with documented controls including encrypted file transfer, access-controlled storage, individual NDAs signed by every linguist and engineer, and staff security training.
We will not use client content for any purpose other than performing the engaged services and will purge files on the agreed retention schedule, typically 90 days post-delivery.
Client retains all rights, title, and interest in content provided to DTP Labs and in the localized, translated, or formatted deliverables prepared under an engagement, upon payment of the applicable fees. DTP Labs assigns to the client all rights in the specific deliverables produced for that client to the extent necessary for the client to exercise full ownership.
DTP Labs retains all rights in its own tools, templates, terminology databases, translation memories, workflows, know-how, and general methodologies, including improvements and adaptations of same, even where developed in the course of an engagement. Where a client provides or pays for dedicated terminology databases or translation memories, ownership of those specific assets is governed by the applicable statement of work or master agreement.
DTP Labs warrants that services will be performed with reasonable skill and care, in a professional manner consistent with industry standards, and in conformance with the scope and requirements set out in the applicable quote or statement of work.
Except as expressly stated in these Terms or a signed agreement, all services are provided on an "as-is" basis without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.
Each deliverable includes one round of client-requested revisions addressing quality issues or specification deviations, at no additional cost, provided revisions are requested within 14 days of delivery. Additional revisions or revisions resulting from client scope changes are billed at the rates in the applicable quote.
If a deliverable is materially defective and cannot be corrected through ordinary revision, DTP Labs will at its option re-perform the work, or refund the fees paid for the specific defective deliverable, as the exclusive remedy for the defect.
To the maximum extent permitted by applicable law, DTP Labs' total aggregate liability arising out of or related to any engagement or use of our website, whether in contract, tort, or otherwise, is limited to the fees paid or payable by the client for the specific engagement giving rise to the claim, except in cases of gross negligence, willful misconduct, breach of confidentiality, or liability that cannot be limited under applicable law.
Neither party will be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, loss of data, or loss of reputation, regardless of the cause of action.
Each party will indemnify the other against third-party claims arising from the indemnifying party's breach of these Terms, infringement of third-party intellectual property rights through content or materials it provided, or gross negligence or willful misconduct. The indemnifying party's obligations are conditional on prompt written notice of the claim, sole control of the defense, and reasonable cooperation from the indemnified party.
Either party may terminate an engagement for material breach by the other party that remains uncured 30 days after written notice. Either party may terminate for convenience on written notice, with the client paying for work performed up to the termination date and for any non-cancellable commitments.
Termination does not relieve either party of obligations already accrued, including payment for services rendered, confidentiality, and indemnification obligations, which survive termination.
The www.dtplabs.com website is provided for informational and commercial purposes. You may not use the site to transmit malware, attempt unauthorized access, scrape content at disruptive volumes, or engage in any activity that violates applicable law or interferes with site operation.
All content on the site — text, graphics, logos, images, and code — is owned by DTP Labs or its licensors and protected by copyright and trademark law. Limited reuse for non-commercial educational purposes with attribution is permitted; other reuse requires written permission.
These Terms and any engagement governed by them are subject to the laws of India. The courts of New Delhi, India have exclusive jurisdiction over any dispute arising out of or related to these Terms or an engagement, subject to arbitration provisions in an applicable signed master services agreement.
Where a signed master agreement specifies different governing law, arbitration, or dispute resolution, that agreement prevails for engagements under its scope.
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when they were last revised. Material changes will be communicated through prominent notice on the website or by direct communication for ongoing client engagements.
